1. Acceptance of Terms

By creating an account or using iVetData's Services, you confirm that you are at least 18 years old and have the legal capacity to enter into binding agreements. If you are using the Services on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

iVetData provides a veterinary practice management platform that enables registered veterinary professionals and clinics to manage patient records, appointments, billing, inventory, and other clinic operations. Services are provided via our website and mobile applications.

3. Account Registration

To access iVetData's features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify iVetData immediately of any unauthorized use of your account. iVetData will not be liable for any loss or damage arising from your failure to comply with these obligations.

4. Veterinary Professional Requirements

iVetData is designed for licensed veterinary professionals. By registering, you represent and warrant that you hold a valid license to practice veterinary medicine in your jurisdiction and that you will use the Services in compliance with all applicable laws, regulations, and professional standards governing veterinary practice.

5. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable law or regulation.
• To transmit any unsolicited or unauthorized advertising or promotional material.
• To impersonate or attempt to impersonate iVetData, an iVetData employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.
• To attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.

6. User Content

The Services may allow you to submit, upload, publish, or otherwise make available content, including patient records, clinical notes, images, and other data ("User Content"). You retain all rights in, and are solely responsible for, the User Content you post to the Services.

By submitting User Content, you grant iVetData a non-exclusive, royalty-free, worldwide license to use, store, display, and process such content solely for the purpose of providing and improving the Services.

7. Patient Data and Privacy

You are solely responsible for ensuring that your use of iVetData complies with all applicable data protection laws and regulations in your jurisdiction, including obtaining any required consents from pet owners for the collection, storage, and processing of their personal information and their pets' medical data.

iVetData implements security measures to protect data stored on our platform, but we cannot guarantee absolute security. You acknowledge that no method of electronic storage is 100% secure.

8. Subscription and Payment

Some features of the Services require a paid subscription. By selecting a subscription plan, you agree to pay the applicable fees. All fees are due in advance and are non-refundable except as expressly provided in these Terms or as required by applicable law.

iVetData reserves the right to change pricing at any time upon notice to you. If you do not agree with a price change, you have the right to reject the change by cancelling your subscription before the change takes effect.

9. Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by iVetData, its licensors, or other providers of such material and are protected by Indonesian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.

10. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by iVetData. iVetData has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. iVetData does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will iVetData, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Services.

13. Indemnification

You agree to defend, indemnify, and hold harmless iVetData and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

14. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Jakarta, Indonesia.

16. Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties shall use their best efforts to settle the dispute through direct negotiation. If the parties are unable to resolve such dispute through negotiation within 30 days, the dispute may be submitted to binding arbitration in Jakarta, Indonesia.

17. Force Majeure

iVetData shall not be liable for any failure to perform its obligations under these Terms if such failure results from any cause beyond iVetData's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, or any other occurrence beyond iVetData's reasonable control.

18. Modifications to Services

iVetData reserves the right to withdraw or amend our Services, and any service or material we provide via the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Services, or the entire Services, to users, including registered users.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and iVetData with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.

21. Waiver

No failure or delay by iVetData in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

22. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without iVetData's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. iVetData may freely assign or transfer these Terms without restriction.

23. No Partnership

Nothing in these Terms shall be construed to create any partnership, joint venture, agency, franchise, or employment relationship between iVetData and you. You do not have any authority to make any representations or create any obligation on behalf of iVetData.

24. Notices

Notices from iVetData to you may be made via email or regular mail. iVetData may also provide notices of changes to these Terms or other matters by displaying notices or links to notices to you generally on the Services.

25. Feedback

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Services ("Feedback"). You may submit Feedback by emailing us or through any other contact mechanism made available by iVetData. You acknowledge and agree that all Feedback will be the sole and exclusive property of iVetData, and you hereby irrevocably assign to iVetData all of your right, title, and interest in and to all Feedback.

26. Language

These Terms may be provided in multiple languages for convenience. In case of any discrepancy or ambiguity between the English version and any translated version, the English version shall prevail.
